Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Veritas Tax Engine platform and related services (the “Service”) provided by Veritas Tax Engine (“Veritas,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Veritas Tax Engine is a tax computation platform that provides:
- Automated tax computation and calculation based on Internal Revenue Code (IRC) provisions.
- Multi-jurisdiction tax position analysis across federal, state, and international frameworks.
- Document management and workflow tools for tax professionals.
- API access for programmatic tax computation integration.
2. Important Disclaimer: Not Tax Advice
Veritas Tax Engine is a computation tool, not a Certified Public Accountant (CPA), tax advisor, enrolled agent, or attorney. The Service performs mathematical computations based on tax code provisions and the data you provide. It does not constitute tax advice, legal advice, financial advice, or any professional advisory service.
- All tax computations should be reviewed by a qualified tax professional before filing.
- Veritas does not guarantee the accuracy, completeness, or applicability of any computation to your specific tax situation.
- Tax laws change frequently. While we strive to keep our engine current, there may be delays in incorporating recent legislative, regulatory, or judicial changes.
- You are solely responsible for the accuracy of data entered and the tax positions taken on any returns.
- Reliance on the Service does not create a professional-client relationship of any kind.
3. User Responsibilities
By using the Service, you agree to:
- Provide accurate information: you are responsible for the accuracy and completeness of all data entered into the Service.
- Maintain account security: keep your login credentials confidential and notify us immediately of any unauthorized access.
- Comply with applicable laws: use the Service in compliance with all applicable federal, state, local, and international laws and regulations.
- Respect usage limits: adhere to the API rate limits and usage quotas associated with your subscription tier.
- Protect client data: if you are a tax professional using the Service on behalf of clients, you are responsible for obtaining appropriate consent and maintaining client confidentiality.
- Comply with the Acceptable Use Policy: adhere to our Acceptable Use Policy.
4. Intellectual Property
4.1 Our Intellectual Property
The Service, including its computation engine, algorithms, source code, user interface, documentation, and all associated intellectual property, is owned by Veritas Tax Engine and protected by copyright, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or disassemble any part of the Service.
4.2 Your Data
You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you. We will not use your tax data for any other purpose, including training machine learning models, without your explicit consent.
4.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use such feedback to improve the Service.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Veritas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
- Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
- Veritas is not liable for any tax penalties, interest, underpayments, or other consequences resulting from computations performed by the Service or from reliance on Service outputs.
6. Indemnification
You agree to indemnify, defend, and hold harmless Veritas Tax Engine, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
8. Term and Termination
- These Terms remain in effect while you use the Service.
- You may terminate your account at any time by contacting us or through the account settings.
- We may suspend or terminate your access if you violate these Terms, the Acceptable Use Policy, or applicable law.
- Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy retention schedule.
9. Modification of Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email or in-app notification. Your continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.
10. Miscellaneous
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver: failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Veritas regarding the Service.
- Assignment: you may not assign your rights or obligations under these Terms without our prior written consent.
